How to register a trading company in India?

To register a company in India, the following steps are involved:

  1. Proposed directors must apply to the Ministry of Corporate Affairs of India to obtain the Director Identification Number.
  2. After obtaining so, the directors can apply to the Registrar of Companies of the state where the company is proposed to be incorporated and begin the incorporation of the company.
  3. After the application for incorporation is completed, the Registrar of Companies will issue a Certificate of Incorporation and register the company.
  4. The company is thus created.

To apply to the Registrar of Companies of any state, the following documents would generally be needed:

  • Memorandum of Association;
  • Articles of Association;
  • Company Agreements (including: personnel appointments);
  • A copy of letter of Registrar of Commerce documents certifying payment of prescribed registration and filing fees;
  • All documents illustrating directorship and company structures; and
  • Registered Office Forms and Declaration of Compliance with the requirements of the Companies Act.

After the company is incorporated, applications should be made to the Director General of Foreign Trade, which acts as an arm of Department of Commerce under Ministry of Commerce and Industry, and register with such authority. The Director General will issue an Importer Exporter Code for the applicant.

After successfully applying to Director General of Foreign Trade, the company must register with the Export Promotion Council. Export Promotion Council is a non-profit organization that promotes export from India to the international platform. To obtain a membership certificate from the Council, the Importer Exporter Code number and a initial membership fee will be needed.

When all the previous registrations and applications are finished, the company has to register with tax authorities, and the regional Sales Tax Department and the Export Import Credit Guarantee Corporation are the particular ones that should be borne in mind. If the chief business activity is to export, then registration with Indian Chamber of Commerce is also necessary, because Indian Chamber of Commerce is responsible for issuing Non-preferential Certificate of Origin to exporters.
