Manager - Business Advisory Service

主要职责 Principal Responsibilities

• 对外商在中国及东南亚周边合作伙伴的办公室的直接投资提供咨询建议；Advising on foreign direct investment into China and also broader SE Asia in collaboration with partner offices;
• 协调或协助处理外商投资企业的设立、结构调整和注销（例如外商独资企业、外商投资商业企业、中外合资企业、外国企业代表处、分支机构、外商投资合伙企业等)； Coordinating or assisting with incorporations, restructurings, and de-registrations of foreign invested enterprises (e.g. WFOEs, FICEs, JVs, ROs, Branches, FIPEs, etc.);
• 能够对外商投资企业的税收结构提供初步建议； Providing corporate structuring and preliminary tax advice for foreign direct investment;
• 就外商直接投资所涉及的各种行业进行法律调研； Conducting legal research into various industries relevant to foreign investment;
• 协调团队进行合并和收购项目及财务和法律尽职调查； Coordinating M&A projects and financial and legal due diligence on a team;
• 起草和/或审阅与外商直接投资有关的各种协议及合同，包括商务合同、贴牌生产合同、劳动合同； Drafting and/or reviewing a variety of legal contracts related to foreign direct investment, including commercial contracts, OEMs, and employment agreements;
• 协助代表外国投资者进行商务谈判； Assisting in commercial negotiations on behalf of foreign investors;
• 协助处理劳动力结构调整和/或劳动问题和纠纷的解决方案； Assisting with workforce restructuring and/or the resolution of labor problems;
• 解决外商投资企业在当地政府部门遇到的问题； Solving problems encountered with local government authorities;
• 向部门初级顾问提供有关上述内容的指导； Providing guidance to junior associates on the matters stated above;
• 能够根据业务需要在南中国区域出差; Shall take business trip as needed in the south China territories;
• 参与日常业务开发及公司推广； Partaking in regular business development and company promotion;
• 为法律/外商投资相关事宜撰写文章或进行演讲; Writing articles and making presentations on legal and foreign direct investment;

工作要求Job Requirements: 

技能 Skills

• 在公司法及外商投资相关法律发面具有扎实的法律知识； Solid legal knowledge of Chinese corporate laws and foreign investment legislation;
• 在处理外国企业常驻代表机构，外商独资企业，外商投资商业企业，中外合资企业的设立程序方面有扎实的知识以及丰富的经验; Conversant with and experienced in corporate establishment (WFOE, FICE, JV, RO, FIPE, etc.);
• 良好的阅读，翻译，撰写，修改及检查法律文件的能力; Skilled in the review, preparation, and drafting of legal documents and agreements in both English and Mandarin;
• 可用英语及汉语进行商务谈判; Able to handle business negotiations in English and Mandarin;
• 承担客户咨询项目的主要责任并成功地完成项目; Comfortable assuming primary responsibility for client advisory projects and business matters and leading them to successful conclusions
• 处事灵活，适应性好，可独立完成工作，也可以有很好的团队合作能力，作为领导甚至是下属都可以很好的胜任职位; Flexible and adaptable, able to work independently as needed and also to work on a team as needed, either as a leader or in a subordinate role
• 热情并有能力指导初级员工工作; Enthusiastic and capable to teach and mentor junior legal staff

教育背景 Educational Background

• 法律硕士学位或以上学历; Master’s Degree in Law or equivalent
• 有中国律师执业资格证或外国法律资格者优先考虑; PRC law license or foreign legal license preferred;

经验 Experience

• 5-8年相关领域工作经验，有国际律师事务所、中国著名的律师事务所或跨国企业的法律部门工作经验优先； 5-8 years working experience in the related fields, preferably in international law firms, prestigious Chinese law firms or legal division of multi-national enterprises;
