There are a number of conditions that must be followed in order to establish a private limited company in Hong Kong:

1. On director and secretary:

  • There must be at least one director and one secretary;
  • If the company has only one director, that director cannot concurrently occupy the seat of company secretary;
  • The company secretary must be a natural or legal person who is a ordinary resident or has its registered office or place of business in Hong Kong;
  • The director, however, can be Hong Kong or foreign citizen.

2. On shareholders:

  • There must be at least one shareholder;
  • The shareholder can be Hong Kong or foreign citizen;
  • The sole shareholder can be the director of the company.
  • If the company is limited by shares, at least one founding shareholder should hold one share.

3. The registered office must be located within Hong Kong.
