Assistant Manager (Business Advisory Services)

职位概要 Job Summary
主要职责:(基本功能)Principal Responsibilities:(Essential Functions)
- 通过跟进客户的需求,进行工作量分配以及其他必要的活动来有序管理法务团队的业务工作 Manage the business advisory service department by following up on client's inquiry, workload allocation and other necessary activities for the orderly operation of the team;
- 进行法律尽职调查和企业并购、收购、重组的相关工作 Participate in legal due diligence and M&A, restructuring related work;
- 提供与外商投资企业相关的法律咨询服务,处理外国企业常驻代表机构,外商独资企业,外商投资商业企业,中外合资企业及其他外国投资企业的设立事务 Provide FDI related legal advisory services with minimum supervision and handle the incorporation procedure for RO, WFOE, FICE, JV and other foreign invested enterprises with minimum supervision;
- 为现有的或潜在的客户提供法律及税务事项/投资方面的法律规定、预测分析和替代方案等建议 Research on legal and tax issues/investment regulations, scenarios and alternatives for our existing and potential international clients;
- 为客户完成法律注册及投资手续办理的相关事宜 Implement legal registrations/investment procedures for our client's portfolio;
- 独立或与其他部门或地区的同事合作完成外商投资企业设立的文件准备 Independently complete or cooperate with colleagues across departments and locations won FIEs setup documents preparation;
- 与政府部门联络了解当地的政策和实践要求 Liaison with governmental authorities to understand local policy and practice;
- 访问政府机构递交材料和收集信息 Site visit government organs to submit documents and collect information;
- 与会计部协作沟通,在客户公司建立后向客户推荐其他部门的长期业务 Follow up on clients' establishment and conversion into tax/accounting retainers with colleagues from the tax/accounting department;
- 为长期客户提供法律的相关咨询 Provide advice on legal issues of retainer clients;
- 撰写、审核法律合同及文件 Draft and review of legal contracts and documents;
- 提供劳动法领域的法律文件撰写、劳动纠纷咨询的服务、及劳动关系解除或变更的执行方案 Draft legal documents related to labor law, provide advice on labor disputes, and implement the termination or transfer of labor relationship;
- 为法律/投资及相关事宜撰写文章或演讲 Write articles or making presentations on legal/investment and other related matters;
- 内部培训 Internal training;
- 为内部出版刊物提供相关内容及文章,协助处理一些行政工作。 Provide content and articles for internal and partners publications; Assist in some office administrations if needed.

技能Skills
- 在处理外国企业常驻代表机构,外商独资企业,外商投资商业企业,中外合资企业的设立程序及合同起草、审核方面有扎实的知识以及丰富的经验 Good knowledge of and experience on set-up procedures for RO, WFOE, FICE and JV; and contracts drafting and review;
- 良好的阅读,翻译,撰写,修改及检查法律文件的能力 Ability to read, interpret, draft, modify and review legal documents;
- 流利的中英文写作和口语能力 Fluent in both spoken and written English and Mandarin
- 独立完成工作的能力 Capable to work with minimum supervision
- 具有良好的敬业精神和团队合作精神; Professional attitude and good team player
教育背景 Educational Background
- 法学专业,大学本科或以上学历 Bachelor Degree or above, major in law
- 有律师从业资格者优先 Bar qualification is preferred, but not a must.
经验 Experience
- 至少五年外商直接投资领域的工作经验,若有在国际律师事务所或跨国公司工作经验者优先考虑 At least five years working experience in Foreign Direct Investment, preferably working experience in an international law firm or multi-national company;
工作关系Working Relations
- 有效沟通与内部部门和外部客户的关系 Effectively communicate with both internal and external clients
